About Clara Chang

Clara Chang is a senior associate in the Global Transactions Group of our Hong Kong office. Her practice focuses on a wide range of corporate transactional and advisory work including public and private mergers and acquisitions, joint ventures, private equity, and corporate restructurings. She has experience advising banks, private equity funds, sovereign wealth funds, listed companies, state-owned enterprises and MNCs. She also spent 7 months on secondment to KKR in Hong Kong in 2020.

Recent work

  • Advising Yu Jing Industrial Limited, a subsidiary of Fosun International, on the auction sale of International Gemological Institute (the diamond-grading and consulting firm) to Blackstone for a total consideration of US$569.65m
  • Advising Boyu Capital on its voluntary conditional general cash offer for all of the offer shares in Jinke Smart Services, one of China’s leading property management services companies listed on the Hong Kong Stock Exchange
  • Advising CK Life and CK Hutchison Holdings on their minority co-investment in Pharus, a greenfield business with focus on the research, development and commercialisation of molecular diagnostics for the early detection of cancer, through the subscription of Series A2 Preference Shares
  • Advising CNI Innovations Holdings Limited on its joint venture with Bain Capital into Maxford Group, a Hong Kong-based leading surface treatment and material processing company
  • Advising Zhongsheng Group Holdings Limited on its US$1.3bn (consisting a combination of cash and share consideration) acquisition of Zung Fu China from the Jardine Matheson Group
  • Advising New Ease, a Warburg Pincus-backed logistics platform, on the establishment of its US$1 bn partnership with QuadReal for investment in logistics facilities development in the PRC
  • Advising CITIC Capital Holdings Limited on its acquisition of a minority stake in McDonald’s mainland China and Hong Kong business
  • Advising Verlinvest S.A. and its joint venture partner (a PRC SOE) as the majority shareholder of Oatly Group AB in its US$10 bn IPO on the Nasdaq Global Select Market
  • Advising China Resources on its strategic partnership with Heineken, involving the acquisition by Heineken of a 40% interest in CRH (Beer) Limited, a majority shareholder of China Resources Beer (Holdings) Company Limited, for approximately US$3.1bn

Qualifications

Clara graduated from the University of Cambridge with a Bachelor of Arts in Law, and then completed the PCLL at the University of Hong Kong. She has been admitted to practice law Hong Kong since 2018. She speaks fluent English, Mandarin and Cantonese.
