About Lucy Cliff
Lucy is a senior associate in our global transactions team in London.
Lucy advises FTSE clients, international corporates and financial sponsors on a range of complex public and private M&A, UK public takeover defence and general corporate governance and UK listed company advisory matters. Lucy works across sectors, including defence, financial services, consumer and industrials.
In 2024, Lucy was named as a Thomson Reuters Stand-out Lawyer.
During her time at Freshfields, Lucy has been seconded to both the General Corporate and M&A Legal team at Smiths Group plc.

Lucy’s work includes advising:
- Tesco plc on the disposal of Tesco Bank to Barclays
- CDPQ on various matters in relation to its investment in FNZ
- Compass plc on various private acquisitions
- Entain plc on its defence against the approach by DraftKings Inc and various private acquisitions
- Smiths Group plc on the dual track demerger and sale of its medical division
- Bulb Energy on the corporate aspects of its administration process
- Public Sector Pension Board on its acquisition and subsequent sale of minority stakes in Forth Ports
- Klepierre on its approach to Hammerson plc
- A number of international clients, corporates and financial sponsors on possible offers for UK listed companies in a range of sectors
