About Chiyokazu Shindo

Chiyokazu Shindo is an experienced M&A and corporate lawyer with a broad practice advising both domestic and international clients.

Chiyokazu regularly collaborates with M&A practitioners from our international offices on a variety of cross-border transactions, and provides clients with practical and business-oriented advice.

Chiyokazu counsels clients on a range of transactions and other corporate legal matters, including mergers and acquisitions, joint ventures, restructurings, regulatory matters, and energy matters (including renewable energy). He also has experience in various aspects of financial restructurings, including wind-downs, liquidation procedures, and out-of-court proceedings. He regularly advises public and private companies on general matters of corporate law.

Prior to joining Freshfields, Chiyokazu worked at a US and UK headquartered top international law firm where he dealt with a wide range of cross-border M&A deals across the globe and regulatory matters. Before the firm, he was a regional counsel for Japan and Asia-Pacific at HOYA Corporation, a Tokyo-listed supplier and seller of high-tech and medical devices. Before joining HOYA, he worked in Frontier Management Inc., a management consultancy and M&A advisory company, as well as one of the magic circle firms on M&A and related corporate matters.

  • Advising a large US listed industrial conglomerate on the spin off of its global Healthcare business, leading a reorganization and carve out project that involved more than 90 jurisdictions;
  • Johnson & Johnson on its $13.1 billion pending acquisition of Shockwave Medical, Inc.;
  • Moderna, Inc. on its acquisition of OriCiro Genomics K.K., a Japanese company that develops cell-free genome technology intended to facilitate cell-free synthesis and amplification of DNA for synthetic biology;
  • a Japanese medical device related company on the sale of its subsidiary's business;*
  • Arm Limited (Arm), the UK-headquartered multinational semiconductor and software design company of SoftBank Group Corp. and SoftBank Vision Fund, in the US$40 billion sale of Arm to NVIDIA;*
  • Chubu Electric Power Co., Inc. on its acquisition of a 50% stake in a German geothermal power project and a joint venture with Marubeni Corporation;*
  • Eurus Energy Holdings Corporation on its investment into and joint development of wind power projects in Sub-Saharan countries in Africa with Windlab Africa Proprietary Limited;*
  • Applied Materials on its proposed multi-billion-dollar acquisition of Kokusai Electric’s semiconductor manufacturing business in Japan;*
  • A Japanese company on the formation of a joint venture between its group company and a major courier company;*
  • Marujun Co Ltd on the sale of Indiana Marujun, a U.S.-based provider of automotive parts for Honda of America to TOA Industry;* and
  • Exelon Corporation on the formation of a new 50:50 joint venture with The Japan Atomic Power Company, a pioneer in Japan’s nuclear power industry.
