Philip advises private equity sponsors, management teams, portfolio companies and strategic investors, as well as public companies, on a range of corporate matters, including mergers and acquisitions, leveraged buyouts, joint ventures, carve-out transactions, reorganizations and general corporate matters.

Philip's experience encompases a range of industries that include energy, infrastructure, industrials, financial services, fintech and consumer products.

Recent work

  • Aera Energy, LLC (Aera) and its owners, IKAV and CPP Investments, in the merger of Aera with California Resources Corporation
  • The Special Committee of the Board of Directors of Sculptor Capital Management in its sale to Rithm Capital
  • Odyssey Investment Partners in its acquisition of Magna Legal Services from CIVC Partners, LP
  • The parent company of EagleClaw Midstream, a Blackstone and I Squared Capital portfolio company, in a merger with Altus Midstream, forming the largest integrated midstream company in the Delaware Basin with an estimated enterprise value of $9 billion at the time 
  • Epiris on its acquisition of LoneStar Group, a leading global manufacturer and supplier of precision-engineered components and pipeline packages
  • Epiris on the demerger of Fastmarkets from Delinian
  • Roan Resources in its $1 billion sale to Citizen Energy Operating, LLC
  • Oasis Petroleum in the simplication of Oasis Midstream Partners and drop-down of Bobcat Devco and Beartooth Devco
  • LRS, an independent waste diversion, recycling and portable services provider, and Goldman Sachs, as lead investor in LRS, in the sale of LRS to an affiliate of Macquarie Infrastructure Partners
  • Luxe Energy LLC (Luxe) in connection with a strategic transaction under which Colgate Energy Partners III, LLC acquired a majority of the assets owned by Luxe
  • Joe Naggar and Republic Digital on the acquisition of Golden Tree Asset Management's digital asset division by Republic Digital 
  • Open Co (formerly Geru) in its acquisition of BizCapital
  • Homology Medicines, Inc. in its merger with Q32 Bio Inc.
