About Carol Van der Vorst

Carol advises clients on leveraged finance acquisitions and refinancing transactions.

Carol is experienced in large and mid cap transactions covering the full spectrum of products and capital structures including syndicated loans, direct lending and loan and bond transactions.

Carol also previously served as a Managing Director in the leverage finance execution team at Goldman Sachs.

She is recognised as one of 1000 women leaders by IFLR.

Recent work

  • acted in relation to the €1.3bn acquisition and refiner for TPG Real Estate Funding backstop facilities supporting its voluntary take-over offer for Intervest Warehouses and Offices, a Belgian listed and regulated REIT;
  • acted for TPG in relation to the European financing aspects of the acquisition by its portfolio company BVI of PhysIol, a Belgian healthcare group;
  • acted for SumUp, a global payment services and solutions provider, in relation to its €1.5bn equivalent refinancing facilities denominated in € and $;
  • acted for PAI in relation to the implementation of a portable financing package offered by the sellers in relation to its acquisition of Azets;
  • acted for Corten Capital in relation to its unitranche financing supporting its acquisition of Ekco Cloud Holding;
  • acted for Cazoo in relation to its restructuring and the UK aspects of its $200m convertible bond refinancing;
  • acted for Goldman Sachs and other banks in connection with a €850m equivalent bridge to bond and super-senior revolving facilities supporting the SEK13bn public to private takeover offer by the founding family in respect of Oriflame Holding AG, a Swiss company listed on Nasdaq Stockholm;
  • acted for Skandinaviska Enskilda Banken (SEB) in connection with a €1.8bn super-senior and SEK2bn senior secured revolving facilities refinancing for Intrum AB (publ);
  • acted for a Multinational Bank and Macquarie Capital in relation to senior secured term loan B and revolving facilities for CVC Capital’s acquisition of Gaming One;
  • acted for BNP Paribas and Deutsche Bank as lead underwriters of bridge to bond and revolving facilities supporting Apax’s acquisition of Lutech SpA; and
  • acted for Bain Capital Credit and Permira Credit in relation to the unitranche financing supporting EQT’s acquisition of Parcel2Go.
