Listed Company Roundtable: Governance and AI

In this Listed Company Roundtable, which was held on 5 March 2024, we looked at the following issues and offering our thoughts on practical steps that listed companies should be taking to minimise the risks, and maximise the opportunities, of AI:

  • Evolving AI regulation globally, with a particular focus on the regulatory frameworks in the UK, the EU, the US and China;
  • The legal risks and value opportunities that AI presents, across the various stages of a business’ interaction with AI tools (from development, to use of AI systems and the subsequent use of the outputs of those systems) and spanning IP, data, workforce, regulatory and business continuity considerations;
  • Practical steps boards should be taking in light of their business’ adoption of AI, with a particular focus on:
    • Scrutiny of day-to-day contracting;
    • A refreshed approach to carrying out M&A, where the target is a developer, or adopter, of AI;
    • AI-related disclosures to satisfy reporting requirements; and
    • People, antitrust and ESG considerations; and

Setting the foundations for an effective AI governance strategy, including oversight structures, relevant systems and policies and product and supplier assessments.
