Freshfields advises Charterhouse Capital Partners and its portfolio company, SERB Specialty Pharmaceuticals, on SERB’s acquisition of BTG Specialty Pharmaceuticals
Freshfields advised Charterhouse Capital Partners LLP and its portfolio companies, Stark International Lux S.à r.l and SERB SAS (together, SERB), on SERB’s pending acquisition of the BTG Specialty Pharmaceuticals business from Boston Scientific Corporation, for a cash purchase price of $800 million. The transaction is expected to close in the first half of 2021, subject to customary regulatory approvals and other customary closing conditions.The deal was financed by ICG Alternative Investment Limited, who provided 800m€ equivalent Unitranche financing, and with new equity provided by Partners Group, Merieux Equity Partners and existing shareholders.
SERB owns a diversified portfolio of prescription medicines focused on rare and life-threatening diseases. The BTG Specialty Pharmaceuticals business develops, manufactures and commercializes life-saving antidotes used in hospitals and emergency care settings, including the clinically proven and leading products CroFab®, DigiFab®, and Voraxaze®.
