Freshfields Names Pamela L. Marcogliese Head of US Corporate Advisory & Governance
Freshfields Bruckhaus Deringer announced today that Partner Pamela L. Marcogliese has been named Head of US Corporate Advisory & Governance.
Freshfields’ Corporate Advisory & Governance practice is a cross-disciplinary group of more than 125 lawyers in the US that advises public and private companies, executive management teams and boards of directors on a wide range of governance, compliance and disclosure issues through every stage of a company’s lifecycle.
Freshfields’ long-standing corporate advisory practice covers day-to-day issues, as well as strategic and sensitive matters, including SEC reporting, compliance and disclosure obligations, compensation and benefits programs, stakeholder engagement and activism defense, dual class stock matters, majority and minority shareholder considerations, founder governance arrangements, shareholder litigation, crisis management and investigations, and cybersecurity and data protection.
As part of this practice, leadership and members from market-leading groups across Freshfields work together to deliver seamless and coordinated advice for our clients. For example, the M&A team regularly engages in defense of our clients against activism and proxy contests, the investigations team takes the lead on cybersecurity and other crises for clients of all sizes, the litigation team defends boards and corporations in shareholder lawsuits and SEC enforcement matters, the executive compensation and benefits team represents clients on the spectrum of employee-related governance and disclosure matters, the data privacy team works with chief privacy officers and boards across the country and globe and the capital markets team designs some of the most innovative capital, securities and corporate structures in the country.
In addition, the corporate advisory practice is responsible for thought leadership on governance topics, including the annual Board Memo, a comprehensive guide for boards and management navigating strategic, operational, governance, stakeholder and regulatory matters; the annual Post Proxy Season Deck, a review and analysis of trends and developments from the past proxy season; and, most recently, Great (Stakeholder) Expectations, a podcast series on ESG issues. Ms. Marcogliese and colleagues at Freshfields also authored the popular, practical manual for companies that want to consider conversion to a public benefit corporation.
